These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "you", or "your") and MVR IT Services Ltd ("XLeShop", "we", "us", or "our"), governing your access to and use of the XLeShop e-commerce platform and associated services.
By registering for an account, subscribing to a plan, or otherwise using XLeShop, you represent that:

You may not share your account credentials with others or create accounts for the purpose of reselling access to XLeShop without our written permission.

All prices are in Indian Rupees (INR) unless otherwise stated. Prices are exclusive of applicable taxes (GST or other taxes as required by law).
Subscriptions are billed monthly in advance. Payment is due at the start of each billing period. We reserve the right to suspend access to the platform if payment is not received within 7 days of the due date.
XLeShop does not charge any commission or percentage on sales made through your store. Your subscription fee is the only fee charged by us. You keep 100% of your revenue.
We will provide at least 30 days' written notice before changing subscription prices. You may cancel before the new price takes effect if you do not accept the change.
Subscription fees are generally non-refundable once a billing period has started. If you believe a charge was made in error, contact us within 14 days at contact@xleshop.com and we will investigate.
You may use XLeShop only for lawful purposes. You must not use the platform to:
We reserve the right to suspend or terminate accounts that violate these acceptable use requirements, with or without prior notice depending on severity.
As a merchant using XLeShop, you are solely responsible for:
XLeShop is a platform provider. We are not a party to transactions between merchants and their customers.
You retain ownership of all content you upload to XLeShop, including product photos, descriptions, brand assets, and page content ("Your Content").
By uploading content, you grant XLeShop a non-exclusive, worldwide licence to host, display, and transmit Your Content solely for the purpose of operating the platform and providing the service to you.
You represent and warrant that:
The XLeShop platform, including its software, design, trademarks, and documentation, is owned by MVR IT Services Ltd and protected by applicable intellectual property laws. Nothing in these Terms grants you any rights in the XLeShop platform beyond what is necessary to use the service as described.
You may not copy, modify, reverse engineer, decompile, or create derivative works based on the XLeShop platform without our express written permission.
XLeShop integrates with third-party services including payment processors, domain registrars, and hosting providers. Your use of these services is subject to their own terms and privacy policies. We are not responsible for third-party services and their availability or performance.
We aim to maintain 99.9% platform uptime. Scheduled maintenance will be announced in advance where possible. We are not liable for downtime caused by factors outside our reasonable control, including force majeure events, internet infrastructure failures, or third-party service outages.
To the maximum extent permitted by applicable law, XLeShop's total liability to you for any claims arising from or related to these Terms or the service shall not exceed the total subscription fees paid by you in the 3 months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be excluded by law, including liability for death or personal injury caused by our negligence or for fraud.
You agree to indemnify and hold harmless MVR IT Services Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
You may cancel your subscription at any time. Your store will remain active until the end of the current billing period, after which it will be deactivated. Contact us at contact@xleshop.com to cancel.
We may suspend or terminate your account with immediate effect if you violate these Terms (particularly acceptable use requirements), or with 30 days' notice for any other reason. We may suspend access without notice in cases of suspected fraud, security breach, or illegal activity.
Upon termination, your access to the platform will cease. We will retain your data for a period consistent with our Privacy Policy and legal obligations. You may request a data export before termination.
For merchants based in India, these Terms are governed by the laws of India. Disputes will be subject to the jurisdiction of courts in Hyderabad, Telangana, India.
For merchants based in the United Kingdom, these Terms are governed by the laws of England and Wales. Disputes will be subject to the jurisdiction of courts in England and Wales.
Before pursuing formal legal proceedings, we encourage you to contact us to resolve disputes amicably. Most issues can be resolved quickly by contacting our support team.
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or a notice in your dashboard. Your continued use of XLeShop after the effective date of updated Terms constitutes your acceptance of the changes.
